Readwise Terms of Service
1. Agreement to Terms
Welcome to Readwise. We are glad to have you here.
By creating a Readwise account, downloading any of our apps, starting a subscription, making a purchase, or otherwise using any Readwise website, app, or related service (collectively, the “Service”), you agree to be bound by the following (together, the “Readwise Policies”):
- these Terms of Service (“Terms”);
- the Privacy Policy;
- the Bookshop Terms;
- the Return and Refund Policy;
- the AI Policy;
- the Community Guidelines; and
- any other rules or policies we post in the Service that reference these Terms.
If you do not accept the Readwise Policies, please do not use the Service.
Please read Disputes. It requires you and Readwise to resolve most disputes individually, through binding arbitration, not in court, and to give up class actions and jury trials, unless you live in the EU, the UK, Switzerland, or Australia.
What Readwise is
Readwise, Inc. (“Readwise,” “we,” or “us”) makes software for readers.
One Readwise account works across our apps and our store:
- Readwise Highlights, which syncs highlights from the places you read, resurfaces them in Daily Review, and exports them to your notes;
- Readwise Reader, which saves articles, PDFs, newsletters, ebooks, and feeds so you can read them in one place;
- Readwise Books, which lets you read ebooks and audiobooks, track your reading, and share it with friends; and
- Readwise Bookshop, which lets you buy ebooks, audiobooks, and print books.
Who is covered
These Terms apply to you and anyone who uses the Service under your account. Who may use the Service is set out in Eligibility.
How you accept
You accept these Terms by:
- clicking “Sign up,” “Subscribe,” “Buy Now,” or a similar button;
- downloading, opening, or otherwise accessing any content through the Service; or
- continuing to use the Service after we have updated these Terms (see Changes to the Service and these Terms below).
Other agreements
Some features come with additional terms, such as the terms shown at checkout by our payment processor. We present them at sign‑up or checkout, and they become part of your agreement with us. If additional terms conflict with these Terms, the additional terms govern for that feature. If any other Readwise Policy conflicts with these Terms, these Terms control, except that the Bookshop Terms govern purchases from Readwise Bookshop and titles from Partner Publishers (as defined in the Bookshop Terms).
Electronic notices
You consent to receive all notices and communications from us electronically (for example, by email or in‑app message), and you agree that those communications satisfy any legal requirement that they be in writing.
Governing law and disputes
For governing law and how disputes are resolved, including jurisdiction, arbitration, and enforcement, see Governing law and Disputes below.
2. License to use the Service and user accounts
Readwise grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your own personal, non‑commercial use. Ebooks and audiobooks you buy come with their own license, described in Use and limitations of Digital Content in the Bookshop Terms. All rights we do not expressly grant remain ours (or our licensors’ and publishers’). For what you may not do with the Service, see Acceptable use below.
Account registration
To use most of the Service, you need a Readwise account. By creating one, you agree to:
- provide accurate, current information;
- keep your password confidential; and
- tell us right away about any unauthorized use.
You are responsible for everything that happens under your credentials. If you use a shared device, sign out at the end of each session.
Account sharing
Each Readwise account is for one person. We understand that people in the same household sometimes share a device or a library, and we may allow limited household use at our discretion, as long as you remain the account holder of record and everyone follows these Terms. We may limit or end that use if it is abused. Sharing beyond your household, such as posting login details online, is never allowed.
Eligibility
You may use the Service only if you:
- are at least 16 years old;
- have permission from a parent or legal guardian, if you are under 18 or under the age of majority where you live; and
- are not barred from using the Service or buying content under applicable export or sanctions laws.
3. Acceptable use
You agree not to use the Service to:
- resell, sublicense, or commercially exploit any part of the Service or its content;
- upload, post, or share content that infringes anyone’s intellectual property or other rights, or that you do not have the right to share;
- upload viruses or other code designed to interrupt, destroy, or limit the functionality of any software, hardware, or network;
- send spam, chain letters, pyramid schemes, or other unsolicited advertising;
- interfere with or disrupt the Service, or the servers and networks connected to it;
- access or try to access any content or information through means we have not intentionally made available;
- use data mining, robots, scrapers, or similar automated tools to gather information from the Service;
- collect or use product listings, metadata, pricing information, or analytics for a competing service;
- frame or embed any Readwise pages or Readwise Materials without our written consent;
- bypass, alter, or circumvent any digital rights management (DRM), content protection, security feature, or geographic restriction, including by using a virtual private network;
- collect email addresses or other contact information of other users;
- impersonate any person or entity, or misrepresent your affiliation with one;
- abuse referral programs, promotions, or discounts;
- commit payment fraud or any other fraudulent activity;
- solicit personal information from anyone under 18; or
- violate any applicable law or regulation.
If we block your access to the Service, including by blocking your IP address, you agree not to try to get around the block.
Competitors
Employees, contractors, and agents of companies that offer products or services that compete with Readwise may not access or use the Service without our written permission. By using the Service, you confirm that you are not a competitor of Readwise and are not acting on behalf of one.
4. Subscriptions and billing
Some parts of the Service are free, and others need a paid plan. Your plan decides which apps and features you can use. Current plans, prices, free trials, and what each plan includes are on our pricing page.
Titles from Readwise Bookshop are sold separately and are covered by the Bookshop Terms.
Automatic renewal
Subscriptions renew automatically at the end of each billing period (for example, monthly or yearly). By subscribing, you authorize us to charge your payment method at the start of each period until you cancel. Before a yearly plan renews, we email you a reminder with the price and how to cancel.
Cancellation and plan changes
You can cancel or change your plan at any time in your account settings. If you subscribed through the Apple App Store or Google Play, see App store subscriptions.
Cancellation takes effect at the end of your current billing period, and you keep access until then. If we refund the rest of that period, your plan ends when we issue the refund. See Cancellation and plan changes in the Return and Refund Policy.
When you switch plans, the new plan starts right away. If it does not include an app, you lose access to that app’s paid features. Depending on your plan and billing period, we may charge the difference for the rest of the current period when you switch, or start the new price at your next renewal.
We do not delete your data because you change or end a plan. You can still export your highlights and documents after your plan ends. Each app’s export options are listed under How each app handles your information in the Privacy Policy. Your data stays in your account and is available again if you move back to a plan that includes that app. How long we keep it, and the few exceptions, are described in Data retention in the Privacy Policy.
Changing or ending your plan does not affect titles you buy from Readwise Bookshop. See Use and limitations of Digital Content in the Bookshop Terms.
Free trials and promotions
If your subscription starts with a free trial or a promotional price, the terms shown when you sign up apply, including when billing starts and what you will pay after the promotion ends. If you give us a payment method for a free trial or promotion, your paid plan starts when it ends, and we charge that payment method unless you cancel first.
Price changes
We may change our prices. New prices apply to new subscriptions. If we ever need to change the price of an existing subscription, we will email you 7 to 30 days before it takes effect and tell you how to cancel. If you do not cancel, the new price applies from your next renewal.
Payment processing
We accept the payment methods shown at checkout. All transactions are handled through Stripe, Inc. and its affiliates (“Stripe”), our secure third-party payment processor. Readwise never sees or stores your full payment details.
By paying through the Service:
- You agree to Stripe’s Terms, Policies, and Global Privacy Policy, available at stripe.com/legal and stripe.com/privacy. Stripe may update those terms at any time.
- You authorize Stripe to store your chosen payment method and to keep billing that card or account, even after its listed expiration date, to prevent service interruptions.
- You confirm that your payment information is accurate and that you are authorized to use the payment method, and you agree to keep your billing information up to date.
- Questions about how Stripe stores or processes your payment details can go to Stripe’s support team.
App store subscriptions
If you subscribe through the Apple App Store or Google Play, that store bills you, and its terms apply to billing, renewal, and refunds. You manage or cancel that subscription in the store’s account settings, not in your Readwise account.
Taxes
Prices do not include taxes unless we say so. You are responsible for any sales tax, VAT, GST, or similar taxes that apply to your purchases, other than taxes on Readwise’s net income.
Billing disputes and refunds
If you think we charged you incorrectly, or you want a refund, see the Return and Refund Policy.
5. Readwise Bookshop
Readwise Bookshop is our store for ebooks, audiobooks, and print books. The Bookshop Terms cover:
- product descriptions, pricing, and availability;
- territorial rights and sanctions;
- your license to ebooks and audiobooks, including device limits and DRM;
- order fulfillment, shipping, and returns; and
- Partner Publisher access.
6. Third‑party content and affiliate links
The Service, our newsletters, or our social‑media posts may include links to external websites, products, or services that we do not operate or control. Some of those links are affiliate links, meaning we may earn a referral commission if you click through and complete a qualifying purchase.
Commission disclosure
As an Amazon Associate, we earn a commission on qualifying purchases when you buy from Amazon after clicking an affiliate link. For example, Readwise Highlights may show you a bonus highlight from a book you might like, with a link to that book on Amazon.
Affiliate commissions help us support Readwise and do not increase the price you pay. We never alter editorial content, such as book recommendations or reviews, solely to earn a commission.
External content and services
Links to third‑party sites are provided for convenience and information only. Readwise does not endorse or guarantee:
- the accuracy or completeness of any third‑party content;
- the security or privacy practices of external sites; or
- the availability, quality, or legality of third‑party products or services.
When you follow a link away from the Service, any transaction you complete is solely between you and that third party, and their terms of use, privacy policy, and return and refund policies will apply. Our liability for third-party websites, products, and services is limited as described in Limitation of liability below.
7. User Content
Anything you save, create, or share in the Service is “User Content”. That includes highlights, notes, tags, saved documents, files you upload, ratings, reviews, comments, and content you import from Third-Party Services. User Content comes from our users, not from Readwise. We do not endorse it or guarantee that it is accurate, and we are not responsible for it. Which User Content is private or public is explained in License you grant to Readwise below.
License you grant to Readwise
You keep whatever rights you have in everything you add to the Service. The license you give us depends on whether your content is private or public.
Private content
User Content that other people can’t see, or that only specific people can see, is “Private Content”. For example, your highlights in Readwise Highlights, the documents you save in Readwise Reader, your direct messages and private books in Readwise Books, anything only your approved followers can see in a private Readwise Books account, and Sideloaded Content.
You grant Readwise a worldwide, non‑exclusive, royalty‑free license to store, copy, process, and display your Private Content only as needed to provide the Service to you. This covers:
- syncing your content across your devices;
- running features you choose to use, including AI features; and
- sending your content to Third-Party Services you connect.
This license ends when you delete the content or your account. We may keep backup copies for a limited time, or longer where the law requires it.
Public content
User Content that anyone can see, because you share it or because of your privacy settings, is “Public Content”. For example, highlights you share as images, documents you share with a public link, and your reviews and reading sessions in a public Readwise Books account. What is public in each app, and how to make it private, is described in How each app handles your information in the Privacy Policy.
You grant Readwise a worldwide, non‑exclusive, royalty‑free, transferable, sublicensable, perpetual license to use, reproduce, modify, adapt, publish, distribute, and display your Public Content to operate, promote, and improve the Service. For example, this lets us display your review on a book’s page, or show your public ratings and reviews to the book’s publisher, without your username. If you delete Public Content, we will remove it from the Service within a reasonable time. Copies that others have already shared or quoted may remain.
Aggregated data
We may create aggregated or de-identified data from how people use the Service, such as how often a passage is highlighted across all readers, and show it to other readers, for example as popular highlights. This data does not identify you, and we may use it as described in the Privacy Policy.
AI training
None of these licenses allow us to use your User Content, whether private or public, to train large language models or other generative AI models, or to let anyone else do so. For more information, see the AI Policy.
Visibility of your content and activity
Readwise Highlights and Readwise Reader are private by default, and Readwise Books is social. What other people can see in each app, and the controls you have, is described in How each app handles your information in the Privacy Policy.
Acceptable User Content
You are solely responsible for your User Content. By adding it to the Service, you confirm that you own it or have the right to use it. User Content that you post or share with others must follow the Community Guidelines.
Moderation and takedown
We may review, restrict, or remove User Content you share with others, at our discretion, but we are not obligated to do so. We may also remove any User Content, including Private Content, that violates these Terms or the law. How we moderate, how to report content or users, and how to appeal a decision are set out in the Community Guidelines.
Copyright
If you believe User Content infringes your copyright, follow Copyright complaints below. If your User Content was removed after a copyright notice and you believe that was a mistake, follow Counter‑notice below.
Preservation and disclosure
We may preserve User Content, and we may disclose it if the law requires it or if we believe in good faith that doing so is reasonably necessary to:
- comply with legal process or applicable law;
- enforce these Terms;
- respond to claims that content violates the rights of others; or
- protect the rights, property, or safety of Readwise, our users, or the public.
Feedback
If you send us questions, comments, suggestions, ideas, or other feedback about the Service, it is not confidential, and we may use it for any purpose without acknowledging or paying you.
8. Third-Party Services
Each of our apps can connect to third-party services (“Third-Party Services”):
- Readwise Highlights can import your highlights and notes from the reading platforms you use, and export them to your note-taking apps;
- Readwise Reader can import documents you saved in other read-later apps; and
- Readwise Books can import your library, shelves, ratings, and reviews from other book platforms.
You can also connect AI assistants and other tools to your content in any of our apps through our APIs and MCP servers, so they can read it and make the changes you ask for.
Some Third-Party Services, such as Login with Amazon and Sign in with Apple, also let you sign in to your Readwise account.
What you authorize
When you connect a Third-Party Service, you authorize us to:
- import data from your account on that service, such as documents, highlights, notes, book lists and shelves, ratings, reviews, and reading history; and
- send your content to that service, or let it read and change your content, if you connect it as an export destination or through our APIs and MCP servers.
Imported content becomes User Content under these Terms.
Third-party terms
Third-Party Services are operated by their providers under their own terms and privacy policies. You are responsible for following those terms and for any fees they charge. AI assistants you connect are Third-Party Services too, so what they do with your content is governed by their provider’s terms, not by our AI Policy.
Independence and trademarks
Readwise is not affiliated with, sponsored by, or endorsed by any Third-Party Service. The names of those services are the property of their respective owners.
Disconnection
You may disconnect any Third-Party Service in your account settings. Disconnecting stops Readwise from importing new data from that service; data already imported remains until you delete it.
9. Sideloaded Content
You can upload your own files, such as ebooks and PDFs, to read in Readwise Reader or Readwise Books (“Sideloaded Content”). Which file types you can upload depends on the app.
Allowed content
You may sideload content only if you:
- own it or have the right to use it this way, such as a DRM-free ebook you bought; and
- import it solely for your private, non‑commercial use within the Service.
Prohibited content
Sideloaded Content must not:
- be obtained from piracy or violate any copyright, trademark, or other proprietary right;
- be protected by DRM that you are not authorized to remove or bypass;
- contain malware, malicious code, or automated scripts; or
- include material that is unlawful, obscene, or hateful.
Scanning and removal
We may run automated scans (hash checks, virus scans, or similar) to detect infringing or harmful files. We may reject, restrict access to, or delete Sideloaded Content that violates these Terms or applicable law.
Ownership and license
You keep whatever rights you have in your Sideloaded Content. It counts as Private Content under License you grant to Readwise above, so we use it only to provide the Service to you, and we do not share the files with other users. Your activity on them follows your visibility settings. For example, if your Readwise Books account is public, other people can see your shelves, reading sessions, and reviews, including those for sideloaded books. Highlights you choose to share from them are visible too. See How each app handles your information in the Privacy Policy.
Storage limits and backups
Sideloaded Content counts toward any personal storage quota we set. Keep your own backups. The Service is not a long‑term archive, and we may delete inactive files after a reasonable period.
10. Downloadable Apps
Readwise offers mobile apps, desktop apps, browser extensions, and other software you install (“Downloadable Apps”).
Downloadable App license
Subject to these Terms, Readwise grants you a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to install the Downloadable Apps on devices you own or control and to use them for your own personal use to access the Service.
Ownership and restrictions
The software behind the Service, including the Downloadable Apps (the “Software”), belongs to Readwise, its affiliates, and its licensors. You may not copy, modify, create derivative works of, reverse engineer, or otherwise try to discover the source code of the Software, or sell, assign, sublicense, or transfer any right in it. Any rights not expressly granted are reserved by Readwise.
App stores
The Downloadable Apps may be available through the Apple App Store, Google Play, browser extension stores such as the Chrome Web Store, or other app stores (“App Stores”). These Terms are between you and Readwise only, not the App Store, and you may also be subject to the App Store’s terms.
Apple apps
If you install a Downloadable App from the Apple App Store (“Apple-Enabled Software”), the following also applies:
- These Terms are between you and Readwise only, not Apple Inc. (“Apple”). Readwise, not Apple, is solely responsible for the Apple-Enabled Software and its content.
- Your license is limited to using the Apple-Enabled Software on Apple products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that it may also be used by other accounts associated with you through Family Sharing or volume purchasing.
- Apple has no obligation to provide maintenance or support for the Apple-Enabled Software.
- If the Apple-Enabled Software fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the Apple-Enabled Software.
- Readwise, not Apple, is responsible for addressing any claims relating to the Apple-Enabled Software, including product liability claims, claims that it fails to meet legal or regulatory requirements, and claims under consumer protection, privacy, or similar laws.
- Readwise, not Apple, is responsible for investigating, defending, settling, and discharging any third-party claim that the Apple-Enabled Software infringes intellectual property rights.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms when using the Apple-Enabled Software, such as your wireless data service agreement.
- Questions, complaints, or claims about the Apple-Enabled Software should be sent to Readwise at hello@readwise.io.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you with respect to the Apple-Enabled Software.
Google Play apps
If you install a Downloadable App from Google Play (“Google-Sourced Software”), these Terms are between you and Readwise only, not Google LLC (“Google”). Your use of the Google-Sourced Software must comply with the Google Play Terms of Service. Readwise, not Google, is solely responsible for the Google-Sourced Software. Google is only the provider of Google Play, has no obligation or liability to you regarding the Google-Sourced Software or these Terms, and is a third-party beneficiary of these Terms as they relate to the Google-Sourced Software.
Mobile carrier charges
When you use a mobile app, your wireless carrier’s standard charges, data rates, and other fees may apply, and some features may not work with every carrier or device.
Open source software
The Service may include open source software, each subject to its own license terms. Where a license requires it, we will make that open source software, and any changes we made to it, available on written request to copyright@readwise.io.
Export controls
Readwise is based in the United States. The Software and the data it sends may be subject to U.S. export controls, and you may not download, export, or re-export the Software in violation of U.S. export laws. Wherever you are, you are responsible for complying with the laws where you live.
11. Suspension and termination
Our right to suspend or terminate
We may suspend or terminate your access to all or part of the Service, including your Readwise account, at any time and without prior notice if we determine that you:
- have materially breached these Terms or any Readwise Policy;
- are engaged in fraud, piracy, or other unlawful activity on or through the Service;
- attempt to circumvent territorial restrictions, DRM, or security features;
- use the Service in a manner that poses a security risk or legal liability to us, our partners, or other users; or
- have provided false or misleading information, or failed to comply with lawful requests related to your account.
If your account is compromised or shows suspicious activity, we may suspend it while we look into it, and restore it when it’s safe.
We may close accounts that stay inactive for a long time. We email you at least 30 days before we do, and we never close an inactive account that holds titles you bought from Readwise Bookshop.
When we suspend or terminate your account, we tell you why, unless the law or a security risk prevents it. You can appeal, as described in Appeals in the Community Guidelines.
Effect of termination
If we terminate your account for one of the reasons above:
- your license to the Service ends immediately;
- you lose access to the titles you bought from Readwise Bookshop, and we refund them unless we terminated your account for fraud, piracy, or getting around DRM;
- we may delete Sideloaded Content and remove User Content you posted;
- you still owe any amounts that were due before we terminated your account;
- we do not refund subscription fees you already paid, unless the law requires it; and
- you lose any unused store credit, unless the law requires us to refund it.
If we terminate your account without cause (for example, if we discontinue the Service entirely), we will:
- refund the unused part of any subscription you paid us directly;
- refund any unused store credit, except credit we gave you as a promotion;
- give you a reasonable chance to export your highlights and documents; and
- try to keep the titles you bought from Readwise Bookshop readable, and refund them if we can’t.
In either case, sections of these Terms that by their nature should survive termination (for example, Limitation of liability, Disputes, Copyright complaints, and Trademark complaints) continue to apply.
12. Information collection
We collect data to operate and improve the Service, to market it, and to comply with legal requirements. What we collect, how we use it, and your rights are described in the Privacy Policy.
13. Intellectual property rights
Ownership of content
All Digital Content, software, graphics, logos, and other materials made available through the Service (collectively, “Readwise Materials”) are protected by copyright, trademark, and other intellectual‑property laws. Except for the limited licenses expressly granted in these Terms, all rights in and to the Readwise Materials are reserved by Readwise or its licensors.
Readwise trademarks
“Readwise,” “Readwise Highlights,” “Readwise Reader,” “Readwise Books,” “Readwise Bookshop,” the Readwise logos, and other Readwise graphics, service marks, and trade names are the exclusive property of Readwise, Inc. or its affiliates (collectively, the “Readwise Marks”). You may not use the Readwise Marks, including in meta‑tags or ad keywords, without our prior written permission.
Third‑party material
All other trademarks, service marks, and logos appearing in the Service are the property of their respective owners and are used under license or fair use. Use of a third‑party mark does not imply endorsement by Readwise or that owner.
No implied licenses
Nothing in these Terms or your use of the Service grants you any rights to reproduce, distribute, modify, or create derivative works from the Readwise Materials except as expressly permitted.
Reporting infringement
Readwise respects the intellectual property rights of others and expects users to do the same. If you believe that your copyright, trademark, or other intellectual property has been used on the Service in a way that infringes your rights, please notify our Copyright Agent by email or physical mail:
| copyright@readwise.io | |
|---|---|
| Phone | +1 620 308 1180 |
| Mailing address | Readwise, Inc., Attn: Copyright Agent 5540 Centerview Drive, Suite 204 Raleigh, NC 27606 USA |
Copyright complaints
To submit a copyright complaint under the Digital Millennium Copyright Act (“DMCA”), email or mail our Copyright Agent with the subject line “DMCA Takedown Request” and include the following information:
- your physical or electronic signature;
- identification of the copyrighted work claimed to be infringed or, if multiple works, a representative list;
- identification of the material you claim is infringing and information reasonably sufficient to locate it (URL or screenshot);
- your name, mailing address, telephone number, and email address;
- a statement that you have a good‑faith belief the disputed use is not authorized by the copyright owner, its agent, or the law; and
- a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
Readwise will review and respond to notices of alleged infringement in accordance with the DMCA and other applicable intellectual property laws. We may remove or disable access to content and take any additional steps we deem necessary based on the information provided.
Counter‑notice
If your User Content was removed or access was disabled as a result of a DMCA notice and you believe this was in error, you may submit a counter‑notice to our Copyright Agent containing:
- your physical or electronic signature;
- identification of the material removed or to which access was disabled and the location before it was removed or disabled;
- a statement, made under penalty of perjury, that you have a good‑faith belief the material was removed or disabled as a result of mistake or misidentification; and
- your name, address, telephone number, and email address, plus a statement that you consent to the jurisdiction of the federal district court for the district where you live (or, if you live outside the U.S., any judicial district in which Readwise may be found) and will accept service of process from the original complainant.
When we receive a valid counter‑notice, we send a copy to the person who filed the original notice. We restore the material in 10 to 14 business days, unless that person first tells us they have filed a court action to keep it down.
Repeat infringers
In appropriate circumstances, and at our discretion, we terminate the accounts of users who repeatedly infringe the intellectual property rights of others. We may also limit access to the Service for, or terminate the accounts of, users who infringe others’ rights even once.
Trademark complaints
To report alleged trademark infringement, email or mail us with the subject line “Trademark Takedown Request” and include the following information:
- the trademark at issue and registration number (if any);
- jurisdiction of registration or use;
- a description of the infringing use and location; and
- a statement that you believe, in good faith, that the disputed use is not authorized by the trademark owner.
Readwise may request additional information about the trademark claim, forward your notice to the user, or take any action it deems appropriate, including removing the content or disabling the user’s account.
14. Changes to the Service and these Terms
Service modifications
We continually improve the Service. We may add, alter, or remove features; introduce new fees; set usage limits; or discontinue the Service entirely. If a change materially reduces the paid benefits you have now, we will give you reasonable notice in advance and, where it applies, refund the unused part of any subscription you paid us directly. If we discontinue the Service, Effect of termination explains what happens to your subscription and your Readwise Bookshop titles.
Updates to these Terms
We may amend these Terms or any Readwise Policy from time to time. If we make material changes, we will give you advance notice by email, in‑app message, or prominent notice on the website. The revised Terms will show an updated “Last updated” date at the top.
Your acceptance
Unless a longer period is required by law, continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree, you must stop using the Service and, if you wish, delete your account before the new Terms take effect.
15. Indemnification, warranties, liabilities, and disputes
Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Readwise, its affiliates, and their respective officers, directors, employees, service providers, licensors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) that arise from or relate to:
- your use or misuse of the Service;
- your User Content;
- your violation of any Readwise Policy; or
- your violation of another party’s rights.
Readwise will provide prompt notice of any such claim. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our reasonable requests in connection with the defense. You may not settle any such matter without our prior written consent.
Disclaimer of warranties
The Service and all Digital Content are provided on an “as is” and “as available” basis, unless otherwise specified in writing. To the fullest extent permitted by law, Readwise disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non‑infringement.
Readwise makes no guarantees that:
- the Service will meet your specific needs;
- the Service will be uninterrupted, timely, secure, or free of errors;
- any results from using the Service will be reliable or accurate; or
- any products, services, or content obtained through the Service will meet your expectations.
We also make no warranties regarding any third-party services that interoperate with the Service.
Limitation of liability
To the fullest extent permitted by law, Readwise will not be liable for any indirect, incidental, punitive, special, consequential, or exemplary damages, including loss of profits, goodwill, data, or other intangible losses, even if we have been advised of the possibility of such damages.
This applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and covers claims arising from:
- your use of or inability to use the Service;
- the cost of obtaining substitute goods or services;
- unauthorized access to or alteration of your transmissions or data;
- the statements or conduct of any third party on the Service;
- your use of any third-party websites, products, or services; or
- any other issue related to the Service.
To the maximum extent permitted by law, Readwise’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid Readwise in the 6 months before the claim arose, or (b) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the limits above may not apply to you. If you are a New Jersey resident, the Indemnification, Disclaimer of warranties, and Limitation of liability sections are intended to be only as broad as New Jersey law permits.
Disputes
If you live in the EU, the UK, Switzerland, or Australia, read Notice for EU, UK, Swiss, and Australian users first.
Readwise is committed to resolving disputes in a fair, efficient, and respectful manner. Most customer concerns can be addressed quickly by contacting hello@readwise.io. If we are unable to resolve your issue informally, the following terms will apply:
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS
- Arbitration Agreement
You and Readwise agree to resolve any dispute, claim, or controversy relating to these Terms or the Service through binding arbitration, not in court, except for qualifying claims in small claims court or when seeking equitable relief for intellectual property matters.
By agreeing to these Terms, both you and Readwise waive the right to a jury trial and to participate in class actions or other representative proceedings. All disputes must be resolved individually. This arbitration agreement is governed by the U.S. Federal Arbitration Act. The arbitrator decides whether a dispute must go to arbitration, except that a court decides questions about the class action waiver. -
How arbitration works
Before starting arbitration, each party agrees to try to resolve the issue informally by sending written notice. Notices to Readwise must be sent to:
5540 Centerview Drive, Suite 204, Raleigh, NC 27606.
The notice should include:- a description of the dispute or claim; and
- the specific relief you are seeking.
If we cannot resolve the issue within 60 days, either party may start arbitration with the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You can find more information at https://www.adr.org.
Unless otherwise agreed, arbitration will take place in a location reasonably convenient for both parties. Claims under $10,000 may be resolved based on written submissions, phone hearings, or in person (your choice). The arbitrator may award the same relief a court could, and their decision is final and binding.
The arbitration process and any related materials are confidential. -
Fees and costs
Arbitration fees will be allocated under the AAA Rules. If a fee is not clearly assigned, it will be split equally unless the arbitrator finds that would be unfair. Readwise will cover fees you cannot afford or that would make arbitration inaccessible compared to court. - Severability and survival
If any part of this arbitration clause is found to be unenforceable (except the class action waiver), the rest will remain in effect. If a court decides the class action waiver can’t be enforced for a particular claim, such as a claim for public injunctive relief, that claim goes to court after the arbitration ends. If a court decides the waiver can’t be enforced at all, this Arbitration Agreement does not apply. - Changes to this agreement
If we update this Arbitration Agreement in the future, you can opt out by sending us written notice within 30 days. Doing so means the prior version of the Arbitration Agreement will continue to apply to you.
16. General
Governing law
These Terms and any dispute between you and Readwise will be governed by applicable U.S. federal law and the laws of the State of Delaware, excluding its conflict-of-law rules. If your local consumer protection laws require otherwise, those provisions will still apply. If a dispute is not subject to arbitration, you and Readwise agree to bring it only in the state or federal courts in Delaware, except for claims in small claims court.
Entire agreement
These Terms, together with the Readwise Policies incorporated by reference, constitute the entire agreement between you and Readwise regarding the Service and supersede all prior agreements or understandings, including any earlier Bookwise Terms of Service.
Time limit for claims
Unless the law requires a longer period, any claim arising out of or relating to the Service or these Terms must be filed within 1 year after it arose, or it is permanently barred.
Language
These Terms are written in English. Any translated version is for convenience only; the English version controls if there is a conflict.
Assignment
You may not assign or transfer your rights or obligations under these Terms without Readwise’s prior written consent. Readwise may assign its rights and obligations at any time, including in connection with a merger, acquisition, or sale of assets.
Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted to reflect the parties’ original intent and the remaining provisions will remain in full force and effect.
No waiver
Failure by Readwise to enforce any provision of these Terms will not be deemed a waiver of future enforcement of that or any other provision.
Interpretation
Section titles are for convenience only and have no legal effect. “Including” means “including without limitation.”
Force majeure
Readwise will not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, epidemic or pandemic, war, terrorism, embargo, labor disputes, governmental actions, or Internet or network outages.
U.S. Government restricted rights
The Service is made available to the U.S. Government with “RESTRICTED RIGHTS.” Use, duplication, or disclosure by the U.S. Government is subject to the restrictions in 48 CFR 52.227-19 and 48 CFR 252.227-7013 et seq. or their successors. Access or use of the Service (including the Software) by the U.S. Government constitutes acknowledgment of our proprietary rights in the Service.

Notice for EU, UK, Swiss, and Australian users
If you live in the European Union, the United Kingdom, Switzerland, or Australia, these rules apply to you and take priority over anything else in these Terms:
- the consumer protection laws of the country where you live still protect you, even though these Terms choose Delaware law;
- Disputes and Time limit for claims do not apply to you, and you can bring a claim in the courts where you live;
- nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not let us limit; and
- nothing in the Readwise Policies takes away your rights when something you pay for is faulty or not as described.
